These Terms and Conditions (“Terms”) govern your access to and use of the Exceat Lab website (“Website”) and any software, services, or products (collectively referred to as the “Services”) provided by Exceat Lab. By accessing or using our Website and Services, you agree to comply with these Terms. If you do not agree with these Terms, please refrain from using the Website or Services.

1. Eligibility

To use our Services, you must be at least 18 years of age or have the legal capacity to enter into a binding contract in the jurisdiction where you reside.

2. Services

Exceat Lab offers a variety of software development services, including custom development, and pre-made software products. We reserve the right to modify, suspend, or discontinue any aspect of our Services at our discretion.

3. User Accounts

In order to access certain Services, you may be required to create an account. You agree to provide accurate, current, and complete information when creating your account and to keep that information up-to-date. You are responsible for maintaining the confidentiality of your account credentials and for all activities that occur under your account.

Exceatlab has rights to login to user accounts without a notice, and Exceatlab client engineering team can login to the software client-end (client accounts) and back-end for updates, testing and customizations with a verbal or written consent from the client.

4. Purchasing Terms
  • Payment Options: Customers can select one of three payment options. Prices for each software vary depending on the features and the value of the latest updates. Exceatlab has full rights to change price at any time.
  • Payment Selection is Final: Once a payment method has been selected, it cannot be changed later. But users can change their package later only on upgrade, downgrading is not allowed.
  • 14-Day Free Trial: Some software of Exceatlab collection may have 14 days trial and demo versions, but Exceatlab has full rights to disable trials & demos at anytime.
  • 3-Month Installment Plan: For customers selecting the 3-month plan, payments will be split into three installments: 40% of the price is due at the start, followed by 30% after one month, and the remaining 30% at the end of the second month. If the customer fails to make any payment, the system will be shut down within 7 days after the due date until the payment is made. This is not allowed for all software and all packages. Our team will inform customers if there is an installment option for a particular software or service.
  • Advance & Initial Payments: Based on the software scope, our team will inform customers if there is an advance payment option and the team can decide the percentage that should be taken from the customer in advance. Customers are required to settle the balance at the end of the version deliverables to retrieve the software. As well as, if customers need any additional services (add-on) or third-party integrations, customer needs to provide them at the initial stage and if there are payments for those services, customers need to make the payments at the beginning and provide the details. We’re (Exceat Lab) not responsible for third-party services that integrate to our systems.
  • Server Maintenance Fee (Premium): Customers who choose the “Buy It Now” option will be required to pay a server maintenance fee based on the relative software shown on the webpage.
  • Other Maintenance: Premium package customers have 1 month free maintenance, once free period is over they need to choose a service from here (https://exceatlab.com/maintenance/) to continue the maintenance. Starter, Pro customers have no free maintenance services. Custom software holders can discuss the maintenance packages while initial stage and include that into the agreement. Morevoer, referrals can be subject to tally with maintenance packages. Customers need to contact Exceatlab support team for more information about the referral (https://exceatlab.com/partnership/).
  • Software Provision: The software will be arranged within 24 hours of purchase. By default, it will be hosted on our business sub-domain. If the customer prefers to use their own domain, they must either purchase it themselves or send payment to us. The customer is responsible for renewing their domain each year.
  • Domain Ownership: Regardless of the package selected, customers are allowed to use their own domains. We will assist in publishing the software on the chosen domain.
  • Refund: There are No anytype of refund is allowed for any services or any software package.
5. Intellectual Property

All content, software, logos, designs, and trademarks on the Website are owned by Exceat Lab or its licensors and are protected by copyright and trademark laws. You may not use, reproduce, or distribute these without prior written permission from Exceat Lab.

Only ‘Premium’ package customers are allowed to replace their logo with Exceatlab logo free of charge, but customers need to request that. If other customers wish to replace the logo, customers need to pay extra fees for the replacement.

We (Exceatlab) have the full right to hold the copyright notice on the footer of all software that we provide.

6. Disclaimer of Warranties

Exceat Lab makes no warranties or representations about the accuracy or completeness of the content on our Website or the Services. All Services are provided “as-is,” and Exceat Lab disclaims all warranties, express or implied.

Exceatlab provides 1-month free maintenance package for only ‘Premium’ options, including feature updates & customizations. The ‘Starter’ & ‘Pro’ package customers need to pay an extra fee for customization, updates, and maintenance before arranging the requested feature or update.

The ‘Premium’ package customers also follow this condition after their 1-month free maintenance and they are still subject for call & email support.

The bugs, system failures or errors can be seen while making the customization and developing the extra features. They will fix as soon as possible, and customers can inform to client engineering team directly of the errors within this period.

But Exceatlab will provide call & email support for technical failures. Exceat Lab is not responsible for client-side errors & conflicts.

7. Third-Party Payment & Requests

Customers can request online payment gateway integrations for the software, and some of our inbuilt software includes online payment gateways inside the sandbox. Exceatlab won’t take gateways for customers; customers should take/purchase/request the gateways from the providers and customers need to email/WhatsApp the required keys (compulsory) and integration guides (if there are) to the client engineering team directly via email or WhatsApp.

Customers can request SMS gateways for the software and Exceat Lab will suggest some third-parties, customer require to make payment for them and take the gateways (API) and provide to Exceat Lab at initial stage. Exceat Lab not responsible for SMS deliveries in fact technical errors on SMS gateways.

Exceatlab is not responsible for any kind of payment terms or any kind of payment-related activities running on the customer’s domain. Exceatlab only provides integration services. Exceat Lab is not responsible for third-party services that integrate to our systems.

8. Limitation of Liability

In no event shall Exceat Lab be liable for any indirect, incidental, special, or consequential damages arising out of or in connection with your use of our Website or Services.

9. Indemnification

You agree to indemnify and hold Exceat Lab harmless from any claims, losses, or damages resulting from your use of the Website, Services, or any violation of these Terms.

10. Governing Law

These Terms will be governed by and construed in accordance with the laws of Sri Lanka, without regard to its conflict of laws principles.

11. Modifications

Exceat Lab reserves the right to modify or update these Terms at any time. Changes will be effective when posted on the Website, and your continued use of the Services constitutes acceptance of the updated Terms.
