This Software License Agreement (“Agreement”) governs the use of the Software provided by Exceat Lab (“Licensor”) as part of our Software-as-a-Service (SaaS) offerings. By accessing or using the Software, you agree to abide by the terms and conditions set forth below.

1. License Grant

Exceat Lab grants you a non-exclusive, non-transferable, limited license to access and use the Software for its intended purpose during the term of this Agreement.

2. Scope of Use

You may use the Software solely for the purpose for which it was designed and in accordance with the terms of this Agreement. You may not sublicense, rent, lease, or distribute the Software.

3. Restrictions

You agree not to:

  • Reverse-engineer, decompile, or disassemble the Software.
  • Modify or create derivative works based on the Software.
  • Use the Software in any manner that could damage, disable, or impair Exceat Lab’s servers or networks.
  • Attempt to gain unauthorized access to the Software or any related systems.
4. Subscription and Fees

The Software is provided on a subscription basis. You agree to pay all applicable fees for your subscription to the Software. Payment terms, including the duration and renewal of your subscription, will be outlined at the time of purchase.

5. Support and Maintenance

Exceat Lab may provide customer support and software maintenance for the Software as described in the relevant documentation or service level agreement. Exceat Lab reserves the right to update or modify the Software periodically.

6. Ownership

You acknowledge that Exceat Lab retains all rights, title, and interest in and to the Software, including any modifications, updates, and related intellectual property. This Agreement does not transfer any ownership rights to you.

7. Confidentiality

You agree to maintain the confidentiality of any proprietary or confidential information you access through the Software and to use such information only for the purpose for which it was provided.

8. Data Protection

Exceat Lab is committed to safeguarding your data. Any data collected through the Software will be handled in accordance with our Privacy Policy [insert link to privacy policy]. You are responsible for ensuring that any data you input into the Software is lawful and does not infringe on third-party rights.

9. Termination

Exceat Lab may terminate this Agreement if you breach any of its terms. Upon termination, you must cease all use of the Software and delete any copies in your possession.

10. Limitation of Liability

To the maximum extent permitted by applicable law, Exceat Lab’s liability under this Agreement shall not exceed the total amount you paid for the Software during the 12-month period preceding the claim.

11. Warranties

The Software is provided “as-is,” and Exceat Lab makes no representations or warranties regarding the performance or reliability of the Software, except as expressly stated in this Agreement.

12. Governing Law

This Agreement will be governed by and construed in accordance with the laws of Sri Lanka.

13. Modifications

Exceat Lab reserves the right to modify or update this Agreement at any time. Changes will be effective upon posting on the Website or via other notification methods.

14. License Terms
  • Restrictions: The Software cannot be resold, duplicated, transferred, or otherwise distributed without explicit permission from Exceat Lab.
  • All Rights Reserved: All rights to the Software are retained by Exceat Lab, which is registered in Sri Lanka under CPC/HP/DS/3974.
